What if the AI says something wrong?

You set the guardrails. Three handoff protections — manager requests, hostile customers and legal topics — are always on and can't be turned off. Each agent can only use the tools its goal grants it, and nothing goes live until you've tested it yourself.

These Terms of Service ("Terms") govern your access to and use of the BKD.ai website at www.bkd.ai and platform services (collectively, the "Service") operated by BKD.ai ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

BKD.ai is an AI-powered customer relationship management (CRM) platform designed for automotive dealerships. The Service may include features such as:

AI-powered sales assistant tools and automated follow-ups.
Email integration, including the ability to connect third-party email accounts (such as Google) to send and manage emails through the platform.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

Maintain and promptly update your account information.
Maintain the security of your account credentials and not share them with others.
Accept responsibility for all activities that occur under your account.

4. Third-Party Service Integrations

The Service allows you to connect third-party accounts, including Google, to enable features like sending emails on your behalf. By connecting a third-party service, you:

Authorize BKD.ai to access and use your account information as described in our Privacy Policy.
Acknowledge that your use of third-party services is also subject to those services' own terms and policies.
Understand that you may revoke BKD.ai's access to any connected service at any time through your account settings or the third party's security settings.
Agree that BKD.ai is not responsible for the actions, content, or policies of any third-party service.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable local, state, national, or international law or regulation.
Send unsolicited or unauthorized advertising, spam, or bulk communications.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Transmit any malware, viruses, or other harmful code.
Interfere with or disrupt the Service or servers or networks connected to the Service.
Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
Use the Service in any manner that could damage, disable, or impair the Service.
Harvest or collect personal information of other users without their consent.

6. Email Communications

When using the email integration features of the Service, you agree to:

Comply with all applicable laws governing electronic communications, including the CAN-SPAM Act and any applicable state or international regulations.
Only send emails to recipients who have provided appropriate consent or with whom you have an existing business relationship.
Include accurate sender information and provide recipients with a clear way to opt out of future communications.
Accept full responsibility for the content and recipients of emails sent through the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by BKD.ai and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You retain all rights to the data and content you submit through the Service. By using the Service, you grant us a limited license to use, process, and display your content solely for the purpose of providing and improving the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BKD.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless BKD.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time by contacting us.

Upon termination, we will delete your data in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Texas.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Effective Date" above. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
